Terms and Conditions

1. Definitions

• Platform: the website creadores.secrethit.com, its dashboards and the Secret Hit Creadores services.
• Creator: a person who publishes content on TikTok, Instagram or Facebook and takes part in campaigns in exchange for payment.
• Artist: the artist, label, publisher or representative who creates and pays for campaigns to promote a song.
• Campaign: an offer published on the platform for creators to use a song in their content following instructions and a payout.
• Post: the creator's social media publication made for a campaign.
• Balance: the money recorded in a user's favor on the platform.
• Hold period: the 15 days between the approval of a post and the release of the payout.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into contracts in your country. The platform is not directed at minors.

To take part as a creator you need at least 10,000 real followers on one of your TikTok, Instagram or Facebook accounts, and you must meet any other criteria we publish.

Your account information must be true, complete and up to date. You may only have one account per person, and you may only register social media profiles that belong to you or that you are authorized to manage.

You are responsible for keeping your password confidential and for all activity on your account. Tell us immediately if you suspect unauthorized access.

We review every application and may approve or reject it at our discretion, without having to explain why.

3. Relationship between the parties

Creators take part as independent contractors. Nothing in these Terms creates an employment, partnership, agency or representation relationship between Secret Hit and creators or artists.

Creators freely decide which campaigns to apply to and are not required to accept any. There is no exclusivity: you may work with other brands or platforms, as long as you comply with these Terms in Secret Hit Creadores campaigns.

Secret Hit acts as an intermediary: it designs and publishes campaigns, verifies posts, charges artists and pays creators.

4. How campaigns work for creators

Before you apply, each campaign shows the song, the campaign type (audio only or video + audio), the allowed platforms, the instructions, the payout for your rate and the closing date.

When you apply, you receive the full instructions in your dashboard. You must publish a post that follows the instructions and the Community Guidelines, and submit the link to the post as proof.

We verify each post manually. We may approve it, ask for corrections or reject it if it does not follow the instructions, does not use the official sound, is not labeled as advertising, is not public or breaches these terms.

Approving a post starts the hold period. If, when it ends, the post is still live and compliant, the payout is released to your balance. If it was deleted, archived, made private or changed so that it no longer complies, the payout is voided.

Campaigns have limited slots and budgets and may close before their closing date when they run out. Applying to a campaign does not guarantee approval or payment.

5. License to use the music

For each approved campaign we grant you a limited, non-exclusive, non-transferable and revocable license to synchronize the campaign song only in the post for that campaign, on the platforms indicated and through the official sound available on the social network itself.

You may not download, rip, edit, remix, speed up, upload as your own audio, distribute on streaming services, register in content identification systems or use the song outside the campaign.

All rights in the music belong to their owners. The license does not transfer any copyright, neighboring right or trademark to you.

Your post may remain live after the campaign closes. If a rights holder asks us, we may ask you to remove or edit the post and you must do so within a reasonable time.

6. Your content and the license you grant us

You keep ownership of your posts. By submitting a post as proof, you grant Secret Hit LLC and the campaign artist a non-exclusive, worldwide, free and royalty-free license, for 24 months, to display, link to, embed, share and quote the post, your username and the post's public metrics, in order to report results and promote the campaign and the song.

This license does not allow us to use your post as a paid ad or your likeness in paid advertising without a separate agreement with you.

You represent that your post is original, that you have the permission of the people who appear in it and that it does not infringe third-party rights.

7. Artist obligations

By creating a campaign, the artist represents and warrants that it owns the sound recording and the musical work, or has all the necessary authorizations from co-writers, labels, publishers, distributors and performers, for the song to be used by creators on social media under the campaign terms.

The artist is responsible for the song, cover art, name and instructions being lawful, truthful and non-infringing, and for the official sound indicated being its song.

We may review campaigns, edit instructions to make them clear or compliant with these policies, and pause or reject any campaign.

Secret Hit does not guarantee a specific number of posts, views, streams, followers, chart positions or that a song will go viral. Results depend on creators, social networks and audiences.

The financial terms of artist campaigns are governed by the Payments, Fees and Refunds policy.

8. Prohibited conduct

The following, among other conduct, is prohibited:

• Using bought followers, views, comments or engagement, bots, engagement farms or any artificial method.
• Registering profiles that do not belong to you, creating multiple accounts or sharing your account.
• Submitting false or altered links, screenshots or metrics.
• Deleting, archiving, hiding or editing a post before the hold period ends to avoid the campaign terms.
• Publishing content that is illegal, misleading, sexual, violent, discriminatory or hateful, that involves minors inappropriately or that breaks the social network's rules.
• Offering payments or deals outside the platform for campaigns that originated on it, or trying to avoid our fees.
• Accessing the platform by automated means, trying to breach its security or interfering with its operation.

9. Payments and taxes

Creator payouts, artist deposits, fees and refunds are governed by the Payments, Fees and Refunds policy.

Each user is responsible for reporting and paying the taxes that apply to the income they receive. Before the first payout we may ask you for a tax form (for example W-9 for US persons or W-8BEN for non-US persons) and apply any withholding required by law.

10. Third-party platforms

Secret Hit Creadores is not affiliated with, sponsored or endorsed by TikTok, Instagram, Facebook, Meta Platforms or ByteDance. When you post on those networks you must follow their terms and rules, including their branded content rules.

We are not responsible for decisions made by those platforms, such as removing or muting content, limiting reach, changing features or suspending accounts.

11. Platform intellectual property

The platform, its software, design, text, logos and the Secret Hit, Secret Hit Creadores, VIP Music Records and Tycoon Republic brands belong to Secret Hit LLC or its affiliates. You may not copy or use them without written permission.

12. Suspension and account closure

We may suspend or close your account, reject posts, void pending payouts or hold balances if you breach these Terms or the Community Guidelines, if we detect fraud or suspicious activity, or if the law requires it.

You may close your account at any time by writing to fabriziojamil@gmail.com. Legitimate released balances will be paid under the Payments policy, except in cases of fraud or breach.

13. Disclaimer of warranties

The platform is provided "as is" and "as available". To the extent permitted by law, we do not guarantee that it will work without interruptions or errors, or that campaigns will always be available.

14. Limitation of liability

To the fullest extent permitted by law, Secret Hit, its affiliates, officers and employees will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or reputational harm.

Our total liability to you for any claim related to the platform will not exceed the greater of: the amounts we paid you or you paid us in the 12 months before the event giving rise to the claim, or one hundred US dollars (US$100).

Nothing above limits rights that the law of your country does not allow to be limited.

15. Indemnification

You agree to defend and indemnify Secret Hit LLC and its affiliates against claims, damages and reasonable expenses, including attorneys' fees, arising from your content, your breach of these Terms or the infringement of third-party rights. For artists, this includes any claim about the rights in the music or the materials of their campaign.

16. Governing law and disputes

These Terms are governed by the laws of the [ESTADO DE EE. UU. DONDE ESTÁ REGISTRADA SECRET HIT LLC] and the applicable federal laws of the United States, without regard to conflict-of-law rules.

Before starting any claim, the parties will try to resolve the dispute in good faith for 30 days after one of them notifies the other in writing.

If you are a consumer, you keep the protection granted by the mandatory laws of your country of residence.

17. Changes to these Terms

We may update these Terms. If the changes are material, we will notify you by email or in your dashboard at least 15 days before they take effect. If you keep using the platform after that date, you accept the new Terms.

18. General provisions

These Terms and the policies they include are the entire agreement between you and Secret Hit regarding the platform. If any clause is held invalid, the rest remain in effect. Our failure to enforce a clause is not a waiver of it.

You may not assign your rights or obligations without our consent. We may assign this agreement to an affiliate or a successor.

The platform is available in Spanish, English and Portuguese. If there is any difference between versions, the Spanish version prevails.
